Il rating di sostenibilità: profili critici e prospettive di regolamentazione.

Abstract

Il presente elaborato si concentra sui ratings ESG: valutazioni, effettuate da parti terze (le agenzie), circa l'impatto delle imprese sul mondo e sulla comunità. I ratings prendono in considerazione i fattori ambientali, sociali e di assetto societario delle aziende per fornire un segnale semplice ed immediato agli investitori sulla "sostenibilità" di quest'ultime. Tuttavia, in assenza di una regolamentazione specifica per il settore questi strumenti possono prestarsi a distorsioni della realtà (il fenomeno del cd. greenwashing) e presentare numerosi profili critici che meritano l'attenzione degli operatori del diritto. In questo elaborato si offre una visione d'insieme delle problematiche che possono emergere dal loro utilizzo da parte dei soggetti partecipanti ai mercati e delle eventuali soluzioni normative da implementare.

The following work focuses on ESG Ratings: evaluations of a company's impact on the world and its communities made by third party agencies. ESG Rating take into account environmental, social and governance factors to offer a clear and simple signal to investors on the level of "sustainabilty" of an enterprise. However, their lack of regulation can pose many serious threats: they can amplify the corporate greenwashing phenomenom, and present numerous critical failings which deserve a jurist's attention. This paper offers a general outlook on the critical issues arising from their usage by markets practicioners and the related legislative steps to take in order to solve them.
