Il rapporto tra il contratto preliminare e il contratto definitivo: un tema in evoluzione

Abstract

La ricerca muove dallo studio degli istituti del contratto preliminare e del contratto definitivo e, soprattutto, del rapporto che li lega. Grazie all'esame dei più recenti testi dottrinali e delle pronunce giurisprudenziali, è stato possibile individuare le problematiche che possono sorgere nel rapporto tra i due contratti. Inoltre, è stato necessario analizzare tutti i rimedi che il panorama contrattuale italiano offre al fine di determinare quali potessero essere i più opportuni e corretti per la tutela del promissario acquirente leso o dal comportamento inadempiente della controparte oppure dai vizi e dalla sopravvenienze che inficiano il bene oggetto della compravendita.

The research starts from the study of the institutes of the preliminary contract and the definitive contract and the relationship thant binds them. Thanks to the examination of the most recent texts of doctrine and jurisprudence, it was possible to identify problems that may arise in the relationship between the two contracts. Furthermore, it was necessary to analyze all the remedies that the Italian contractual ladnsacape offers in order to determinate which could be the correct ones to protect the injured future buyer. In fact, he can be hit by the defaulting behavior of the counterparty or by defects and contingencies that invalidate the object of the contract.
