LA COMPOSIZIONE NEGOZIATA: L’ACCESSO ALLA PROCEDURA E LE TUTELE NEI CONFRONTI DEI CREDITORI

Abstract

Con il D.L. 118/2021 convertito in L. 147/2021 è stato introdotto nell’ordinamento giuridico della crisi d’impresa un nuovo istituto denominato “composizione negoziata della crisi”, in seguito rivisitato e confluito nell’attuale Codice della crisi d’impresa e dell’insolvenza contenuto nel D. Lgs. 12.1.2019 n. 14 in vigore dal 15 luglio 2022, secondo la formulazione introdotta dal D. Lgs. 83/2022. Il presente elaborato intende fornire, inizialmente, una descrizione generica dell’istituto in questione, permettendo al lettore di comprenderne gli elementi basilari caratterizzanti, al fine condurre in modo graduale e chiaro al “cuore” dell’elaborato: la posizione dei creditori di fronte ad uno strumento molto favorevole all’imprenditore in difficoltà e volto a conservare con determinatezza la continuità aziendale delle attività in crisi.

With D.L. 118/2021 converted into L. 147/2021, a new institution called “negotiated composition of the crisis” was introduced in the business crisis legal system, later revised and merged in the current Code of business crisis and insolvency, included in D. Lgs. 12.1.2019 number 14 in force from 15 July 2022, according to the wording introduced by D. Lgs. number 83/2022. This paper intends to provide, firstly, a generic description of the institute in question, allowing the reader to understand its distinctive basic elements and aiming to lead to the “heart” of the paper in a gradual and clear way: the position of the creditors facing a beneficial instrument for entrepreneurs experiencing real difficulties and determined to maintain business continuity of the activities facing some kind of crisis.
