La crisi d’impresa delle società sportive: il caso U.C. Sampdoria S.p.A.

Abstract

In seguito alle note vicende che hanno coinvolto la società U.C. Sampdoria S.p.A. di cui hanno ampiamente trattato e discusso i media, nonché alla passione che mi lega a questo sport e alle discipline economico - giuridiche, mi è sorta l’esigenza di fare un esame più approfondito degli aspetti economico - finanziari e giuridici che coinvolgono le società di calcio. La presente trattazione, quindi, approfondisce gli aspetti economico - finanziari, gestionali nonché le principali problematiche che molte società stanno affrontando negli ultimi anni a causa dell'elevato livello di indebitamento che detengono e che è diventato insostenibile. Il primo capitolo verterà sulle normative in vigore che queste società devono rispettare in sede di redazione del bilancio, nonché il tema del Financial Fair Play e delle peculiarità di quest’ultimi, anche per quanto riguarda la conformità ai principi IAS/IFRS. Nel secondo capitolo si tratterà nel merito del concetto di frode, per delinearne i contorni e comprendere se le operazioni incrociate, che caratterizzano il mondo calcistico, ci rientrino dentro, analizzando anche un caso societario che ha fatto scalpore in riferimento a questo tema. Nel terzo capitolo, invece, si tratterà ampiamente della crisi d’impresa delle società sportive, con l’analisi di alcuni casi che permetteranno di passare, nell’ultimo capitolo, ad esaminare il più recente caso di crisi nel panorama calcistico che è anche il primo caso di risanamento di una squadra di calcio in continuità aziendale, ovvero il caso del U.C. Sampdoria S.p.A.

Following the well-known events involving the company U.C. Sampdoria S.p.A. which have been extensively covered and discussed in the media, as well as the passion that binds me to this sport and to the economic-legal disciplines, I felt the need to take a more in-depth look at the economic - financial and legal aspects of football clubs. This essay, therefore, explores the economic - financial, managerial aspects, as well as the main issues that many companies have been facing in recent years due to the high level of debt they hold and which has become unsustainable. The first chapter will focus on the regulations in force that these companies must comply with when preparing their financial statements, as well as the issue of the Financial Fair Play and the peculiarities of these financial statements, also with regard to compliance with IAS/IFRS. In the second chapter, the concept of fraud will be dealt with in detail, in order to outline its contours and understand whether the aforementioned “cross-operations”, that characterize the world of football, are part of it, also analyzing a corporate case that has caused a sensation in reference to this issue. In the third chapter, instead, it will deal extensively with the business crisis of sports clubs, with the analysis of some cases, which will allow us to pass, in the last chapter, to examine the most recent case of crisis in the football landscape, which is also the first case of restructuring of a football club as a going concern, namely the case of the U.C. Sampdoria S.p.A.
