Poteri della maggioranza e ritorno per gli azionisti: uno studio sulla Borsa italiana

Abstract

Il presente lavoto ha per oggetto un’analisi sulle società italiane quotate in Borsa. Dopo aver illustrato in maniera sintetica alcuni aspetti basilari sulle categorie di azioni e sul Total Shareholders Return (TSR), si effettua un’analisi sulle singole società per individuare le tipologie di azioni emesse e i diritti che attribuiscono. Lo scopo è quello di andare a capire se esiste un legame tra diritti amministrativi e ritorno per gli azionisti e quali strumenti utilizzano gli azionisti di maggioranza per esercitare un maggior controllo sulla società

The present report deals with an analysis of Italian companies listed on the stock exchange. After briefly explaining some basic aspects about the categories of shares and the Total Shareholders Return (TSR), an analysis is carried out on the individual companies to identify the types of shares issued and the rights they grant. The aim is to understand if there is a link between administrative rights and return for shareholders and what tools majority shareholders use to exercise more control over the company
