This thesis examines public-private partnerships, with particular reference to project financing, as instruments of public policy and governance rather than merely contractual or financial mechanisms. The study analyses the evolution of project financing within the Italian and European legal frameworks, focusing on the relationship between private initiative, competition, administrative capacity, and the creation of public value. Particular attention is devoted to the judgment of the Court of Justice of the European Union in the *Urban Vision* case, which represents a significant turning point in the regulation of project financing. The judgment raises important issues concerning the protection of competition, equal treatment among economic operators, and the role of the private promoter. The thesis highlights the need to rethink the balance between incentives for private initiative and the principles governing competitive procedures. It argues that project financing can effectively contribute to public value only when public administrations possess adequate technical, legal, and managerial capabilities to evaluate projects, allocate risks, ensure transparency, and monitor results. The study concludes that the future development of project financing should be based on stronger administrative capacity, genuine competition, transparent incentive mechanisms, and a clear orientation toward long-term public interest and sustainable value creation.en_UK
