This thesis aims to analyze the guarantee position of the members of the board of statutory auditors, with a specific focus on the potential impact of the reform of Article 2407 of the Italian Civil Code on the criminal liability of auditors for failing to prevent offenses committed by directors. First, the rationale of the guarantee position under Article 40, paragraph 2, of the Italian Criminal Code is reconstructed through an examination of the supervisory duties and powers granted to the board of statutory auditors by corporate law. The red flags triggering the auditor's duty to act are then analyzed to identify the threshold beyond which inaction assumes criminal relevance pursuant to Article 40, paragraph 2, of the Italian Criminal Code. Subsequently, the discussion focuses on the reform of Article 2407 of the Italian Civil Code, introduced by Law No. 35/2025, reconstructing its key innovations and the interpretive issues that have emerged following its entry into force, with particular reference to the new limits on compensatory liability and the applicable transitional regime. Finally, the study investigates the potential implications of the reform in the realm of criminal law. Although the reform has not directly modified the legal prerequisites for the criminal liability of statutory auditors, this study demonstrates how the newly introduced provisions have sparked a debate regarding the criteria for establishing liability for commission by omission. By examining the main scholarly perspectives, this research encourages reflection on the possibility of identifying more selective criteria to distinguish omissions of actual criminal relevance, thereby preventing an auditor's liability from arising solely from the position held.en_UK
