La revocatoria concorsuale dopo la riforma della crisi d'impresa

Abstract

Il presente elaborato analizza l’istituto della revocatoria concorsuale, uno strumento fondamentale del diritto della crisi d’impresa, alla luce delle recenti riforme introdotte dal Codice della Crisi d’Impresa e dell’Insolvenza (CCII). La revocatoria concorsuale ha l'obbiettivo di tutelare l’integrità patrimoniale del debitore e il principio della par condicio creditorum, reintegrando la massa fallimentare e riducendo gli effetti pregiudizievoli di atti compiuti dall’imprenditore in difficoltà economica che favoriscano alcuni creditori a discapito di altri. L’elaborato dunque esamina l’evoluzione storica dell’istituto, la sua funzione nel sistema concorsuale e i meccanismi di applicazione, con particolare riguardo ai presupposti e ai tipi di atti soggetti a revocatoria. Viene approfondita la disciplina attuale, con riferimento ai tempi, ai criteri di applicazione e alla tutela dei creditori, bilanciata con la necessità di garantire continuità e stabilità nei rapporti economici. Particolare rilievo è dato alla revocabilità delle rimesse bancarie, al criterio del saldo di riferimento e alle novità normative, inclusi gli effetti della riforma del 2005. L’analisi si estende anche alla proposta di Direttiva Insolvency II del Dicembre 2022, valutando l’impatto europeo su atti privi di corrispettivo o con corrispettivo inadeguato. Infine, l’elaborato individua criticità e prospettive future, interrogandosi sull’efficacia dell’istituto e sulla necessità di ulteriori interventi normativi per conciliare la tutela dei creditori con la stabilità e la continuità dell’attività produttiva, nell’interesse del sistema economico complessivo.

This paper analyzes the institution of bankruptcy clawback actions, a fundamental tool in the law governing business crisis and insolvency, after the recent reforms introduced by the Italian Code of Business Crisis and Insolvency (CCII). The aim of clawback actions is to protect the debtor’s asset integrity and the principle of par condicio creditorum, by restoring the bankruptcy estate and mitigating the harmful effects of transactions carried out by a financially distressed entrepreneur that favor certain creditors to the detriment of others. The paper therefore examines the historical evolution of the institution, its role within the insolvency framework and the mechanisms of its application, with particular focus on the requirements and types of transactions subject to clawback. It explores the current legal framework, including timelines, criteria for application, and creditor protection, while also considering the need to ensure continuity and stability in economic relations. Special attention is given to the clawback of bank transfers, the reference balance criterion, and legislative updates, including the effects of the 2005 reform. The analysis also extends to the proposed Insolvency Directive II of December 2022, assessing its European impact on transactions made without consideration or with inadequate consideration. In the end, the paper identifies critical issues and future perspectives, questioning the effectiveness of the institution and the need for further legislative intervention to reconcile creditor protection with the stability and continuity of productive activities, in the interest of the broader economic system.
