I doveri organizzativi dell'impresa nella gestione dell'immateriale

Abstract

La tesi si preoccupa di analizzare ed individuare una nuova categoria di clausole generali, le clausole GOI (Generali Organizzative dell’Immateriale). La prima parte del lavoro analizza ed individua nuove clausole GOI con l’obiettivo di stilarne un elenco esaustivo e di proporre paragoni e differenze fra queste. Successivamente si è inoltre creata un’intelaiatura con l’utilità di distinguere e posizionare in diverse categorie queste nuove clausole. La seconda parte del lavoro analizza invece le clausole GOI all’interno di due argomenti portanti per il diritto commerciale. Il primo di questi è la responsabilità degli amministratori. Si approfondisce l’argomento partendo dalla sua evoluzione normativa ed arrivando a trattare argomenti quali la Business Judgement Rule e gli assetti organizzativi. Dopo aver focalizzato il quadro generale si analizzeranno le intersezioni delle clausole GOI in questa materia guardando all’impatto e agli effetti subiti. Infine, si analizzerà il secondo argomento che è la cybersicurezza. Anche in questo caso si parte analizzando il complesso normativo vigente sia in Europa che in Italia, soprattutto tramite recepimento. Infine, si conclude proponendo paragoni e diverse interpretazioni tra le clausole GOI all’interno della materia. Si cercherà dunque di proporre soluzioni per portare sicurezza e certezza nell’ambito immateriale in cui si è obbligati a garantire protezione e certezze per i soggetti professionali che lo utilizzano ma in realtà, anche per tutti i consociati. Oltre alla catalogazione e la schematizzazione delle clausole GOI, l’obiettivo della tesi sarà individuare e proporre alcune soluzioni per sopperire all’indeterminatezza di queste nuove clausole e in contempo analizzare due argomenti portanti del diritto commerciale cercando, almeno in parte, di chiarificarli.

This paper is concerned with analyzing and identifying a new category of general clauses, the GOI clauses (Generali Organizzative dell’Immateriale). The first part of the paper analyzes and identifies new GOI clauses with the aim of compiling an exhaustive list of them and to propose comparisons and differences among them. Subsequently, it also creates a framework with the utility of distinguishing and placing in different categories these new clauses. The second part of the paper instead analyzes GOI clauses within two load-bearing topics for commercial law. The first of these is the directors' liability. The topic is explored in depth, starting from its regulatory evolution and arriving at topics such as the Business Judgement Rule and organizational structures. After focusing on the general general framework, the intersections of GOI clauses in this matter will be analyzed by looking at to the impact and effects suffered. Finally, the second topic, which is cybersecurity, will be analyzed. Again we will start by analyzing the existing regulatory complex both in Europe and in Italy, especially through transposition. Finally, it concludes by proposing comparisons and different interpretations between GOI clauses within the subject matter. An attempt will therefore be made to propose solutions to bring security and certainty to the intangible sphere in which one is obliged to provide protection and certainty for the professional subjects who use it, but in reality, also for all consociates. In addition to the cataloging and schematization of GOI clauses, the objective of the paper will be to identify and propose some solutions to make up for the vagueness of these new clauses and at the same time analyze two load-bearing topics in commercial law by trying, at least in part, to clarify them.
