Abstract

This thesis analyzes the discipline of "transactions with related parties" (OPC), an expression that defines contractual relationships (commonly even if improperly defined as "transactions") between a company and entities or individuals who have a significant influence on its management of the company itself or on its specific decisions. The origin and historical development of this concept are linked to the need to ensure transparency and fairness in commercial relationships subject to conflicts of interest and, therefore, exposed to the risk of abuse. The aim of the thesis is to analyze the current state of the regulation and the problems that have emerged during its application. The purpose of this paper is to briefly explain the above-mentioned discipline on the subject of OPCs and its evolution on the basis of European legislation that has drawn its inspiration from the US experience.

Questa tesi analizza la disciplina delle "operazioni con parti correlate" (OPC), espressione che definisce rapporti negoziali (comunemente anche se impropriamente definite “transazioni”) intercorrenti tra un'impresa e entità o individui che hanno un'influenza significativa sulla sua gestione dell’impresa stessa o su sue specifiche decisioni. L'origine e lo sviluppo storico di questo concetto sono legati alla necessità di garantire trasparenza e correttezza in rapporti commerciali soggetti a conflitti di interesse e, pertanto, esposti al rischio di abusi. L’obiettivo della tesi è quello di analizzare lo stato attuale della regolamentazione e le problematiche emerse nel corso della sua applicazione. Il presente lavoro si propone di esporre brevemente la disciplina richiamata in tema di OPC e la sua evoluzione sulla spinta della normativa europea che ha tratto il proprio spunto dall’esperienza statunitense.
