Abstract

This thesis examines, from a private-law perspective, the transfer of professional footballers' contracts, starting from the gap between the language of practice, which describes it as a "sale and purchase of the player", and its actual legal qualification. The enquiry takes the Italian Civil Code as a constant term of comparison and measures the arrangements of football practice against the institutions of the general law, taking account of the special rules on sports employment, of national and international federative rules, and of national, arbitral and European case law. Having reconstructed the autonomy of the sporting legal order and placed the sports employment contract within the framework of Legislative Decree No 36/2021, the core of the work brings the transfer within the assignment of contract governed by Articles 1406 ff. c.c., in which the player's consent is a constitutive element of the transaction and not a mere formality. The arrangements found in practice, such as the temporary transfer, the option and the obligation to purchase outright, the option in favour of the transferring club and the so-called release clause, are tested against the option agreement, the condition, withdrawal and the penalty clause, showing how operative consequences follow from their qualification, in particular as regards the reducibility of the sum under Article 1384 c.c. A final chapter is devoted to the sports agent and to bringing his relationship with the player within the scheme of the contract of mandate. It emerges that the categories of civil law continue to provide the structure of the transactions examined: the sporting rules do not replace them, but shape them by introducing further requirements, limits and consequences, while European Union law operates as an external limit on the autonomy of the sporting legal order, as confirmed by Bosman and Diarra and, most recently, by ROGON and RRC Sports of July 2026.
