The introduction of the Superbonus under Decree-Law No. 34/2020 marked a turning point in the Italian system of tax incentives. Introduced to address the economic consequences of the COVID-19 pandemic, the measure did more than increase tax deductions for building renovations: it fundamentally transformed the relationship between taxpayers and the tax authorities. By allowing invoice discounts and the transfer of tax credits, the Superbonus converted a personal tax benefit into a transferable financial asset, involving banks and financial intermediaries in the circulation of tax credits.
This transformation raised significant legal issues. Although the tax credit originates from an individual tax deduction, its transfer grants it an autonomous patrimonial dimension. This thesis examines that dual nature, investigating how the circulation of tax credits affects core principles of Italian tax law, particularly tax assessment, liability, and the protection of legitimate expectations.
As fraudulent schemes involving the creation and transfer of tax credits emerged, the legislator progressively strengthened the system of controls through preventive suspensions, risk-based procedures, and stricter liability rules for transferees. The Superbonus therefore became a testing ground for balancing economic stimulus, fraud prevention, and the rights of the parties involved.
The research combines statutory analysis with the practice of the Italian Revenue Agency, specialist legal scholarship, and recent case law. It focuses on the Superbonus framework, the transfer of tax credits, administrative controls, the allocation of liability among beneficiaries, transferees, banks, and professionals, and the distinction between tax recovery and administrative sanctions. The final chapter applies these principles through the analysis of a significant judicial case concerning tax credit transfers and preventive controls.
